2. Terms & Conditions

2.1 Acceptance of Terms

By accessing our website or engaging our services, you agree to be bound by these Terms and Conditions.

2.2 Services Provided

We provide two categories of digital services:

  •       Telesales & Outbound Sales Representation: We provide named telesales representatives to deliver outbound sales services on behalf of clients. Services are performed in a timely, diligent, and professional manner consistent with recognised industry standards. We maintain accurate records of all sales activity in the client’s designated CRM system and provide regular performance reports as agreed.
  •       Digital Products: We resell and licence third-party digital products, including but not limited to CRM systems and other business software solutions, under our own branding for client use.

Any material change to the scope of services must be agreed in writing by both parties.

2.3 Service Delivery

All services are delivered digitally. Where a change of telesales representative is necessary, the client will be given reasonable advance notice and a replacement of equivalent skill will be provided.

2.4 Payment Terms

Payments are processed securely via Airwallex. By purchasing our services, you authorise us to charge the agreed fees to your chosen payment method. All fees are due as outlined in your service agreement or at the point of purchase.

We accept payment in GBP and USD. Applicable taxes will be applied in accordance with UK and US regulations.

2.5 Intellectual Property

All content, branding, and materials provided by us remain the intellectual property of The Sales Centre Co or Simply Outsourcing Ltd unless otherwise agreed in writing. White-label products are subject to the terms of the underlying software licence.

2.6 Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability shall not exceed the total fees paid by you in the three months preceding the claim.

2.7 Governing Law

These Terms are governed by the laws of England and Wales for UK clients, and the applicable laws of the relevant state within the United States for US clients. Any disputes shall be subject to the exclusive jurisdiction of the relevant courts.

2.8 Changes to Terms

We reserve the right to update these Terms at any time. Continued use of our services following any changes constitutes acceptance of the revised Terms.

3.1 Introduction

3.4 Payment Processing via Airwallex

We use Airwallex as our payment service provider. When you make a payment, your financial data is transmitted directly to and processed by Airwallex in accordance with their privacy policy and security standards. We do not store your full payment card details. Airwallex is PCI-DSS compliant. 4. Refund & Cancellation Policy

4.1 Digital Services — General

As all services provided by The Sales Centre Co and Simply Outsourcing Ltd are digital in nature, there are no physical products to return. All refund requests are assessed on a case-by-case basis.

4.2 How to Request a Refund

To request a refund, please contact us within a reasonable timeframe of the issue arising:

Please include your name, the service in question, the date of purchase, and the reason for your refund request.

4.3 Assessment Criteria

Refund eligibility may be considered where:

  •       The service was not delivered as described or agreed in the service contract.
  •       A technical fault or error on our part prevented delivery.
  •       There has been a billing error or duplicate charge.

Refunds will not typically be issued where:

  •       The service has been fully delivered as agreed.
  •       The request is based on a change of mind after service commencement.
  •       The client has been in breach of our Terms & Conditions.

4.4 Refund Processing

Approved refunds will be processed via Airwallex back to the original payment method. Processing times are typically 5–10 business days, depending on your bank or payment provider.

4.5 UK Consumer Rights

UK clients have statutory rights under the Consumer Rights Act 2015. Nothing in this policy affects those rights. Digital services not conforming to what was agreed may be entitled to a repeat performance or, where that is not possible, a price reduction or full refund.

4.6 Subscription & Ongoing Services

For subscription-based or ongoing service agreements, cancellations must be made in accordance with the notice period specified in your service contract. Payments already processed prior to a valid cancellation request are non-refundable unless a service failure has occurred.

 

5. Delivery & Fulfilment Policy

5.1 Digital Delivery

All services provided by The Sales Centre Co and Simply Outsourcing Ltd are delivered digitally. There are no physical goods, and therefore no shipping or postal delivery applies.

5.2 Telesales Services

Telesales and outbound sales services are fulfilled as follows:

  •       Commencement: Services begin on the date agreed in your service contract or Exhibit A.
  •       Delivery method: Services are performed remotely by named telesales representatives.
  •       Reporting: Performance reports are provided at agreed intervals as specified in your contract.
  •       CRM records: All sales activity is recorded in the client’s designated CRM system.

5.3 Digital Products

For software and digital products:

  •       Access is granted digitally, typically within 1–3 business days of confirmed payment.
  •       Onboarding instructions and access credentials will be delivered to the email address provided at the time of purchase.
  •       Ongoing access is subject to the terms of the relevant software licence and your service agreement.

5.4 Service Commencement

Service commencement timelines are outlined in your individual service agreement. If you have not received access or confirmation within the expected timeframe, please contact us immediately at terence@thesalescentre.co.

5.5 Disruption to Services

In the event of an unforeseen disruption to service delivery (including technical outages or third-party failures), we will notify affected clients as soon as reasonably practicable and provide an estimated resolution timeline.

5.6 Non-Solicitation & Staff Protection

During the term of any service agreement and for a period of twelve (12) months following its termination, neither party shall directly or indirectly solicit, recruit, hire, or encourage to leave any employee, contractor, or consultant of the other party who has been involved in the delivery or management of services under that agreement.

Where a client directly engages any telesales representative or contractor introduced through our services whether during the term or within 12 months of termination  without our prior written consent, a transfer fee of £6,000 per individual will become immediately due and payable. This fee represents a genuine pre-estimate of the losses incurred in recruiting, onboarding, and training a replacement of equivalent skill and experience.

This clause applies to direct engagement of any kind, including but not limited to employment, freelance contracts, or consultancy arrangements.
